Even when you use a UBEC the "brain board" in the MM still supplies its own power. The MM uses linear voltage regulators that basically burn off the extra wattage to get it down to a useable voltage for the components, a UBEC uses a switching regulator so it doesn't have to bleed off any wattage.

You should expect some ambient heat when the MM is sitting idle. Most people either run within specs and don't heat up as much or just never notice it.

120*f is not at all too hot for an ESC, wouldn't worry about it unless it continues to climb in temp the longer it runs (a stable temp means the heat sink/fan is able to transfer the heat being generated, if it keeps climbing the sink/fan is not enough).
